Admin Agrement

This Admin Agreement (“Agreement”) is made and entered into as of 01- 01- 2022, by and between.

Westcombe Technologies Ltd as Bano Live. (Reg #11578662), operating from UK,

Authorized representative of the company to execute this Agreement (hereinafter referred as (“WCTL”, which expression shall mean and include its successors-in-interest and permitted assigns) of the FIRST PART.

which shall include his legal heirs, successors and assigns (hereinafter referred as “Talent Recruiter”, which expression shall mean and include its successors-ininterest, legal heirs and permitted assigns), of the SECOND PART. WHEREAS


  1. WCTL has exclusive intellectual proprietary rights vested in the smartphone software Application in the name and style of “Bano live” and is desirous to augment its software application through hiring the services of talent recruiters.

  2. Talent Recruiter is an independent, legal or natural person, who hereby represents and warrants that it has the necessary skill, knowledge, resources, knowledge and capacity to provide WCTL with the Services (as more fully described herein) which shall include but is not limited to hunt and recruit talent to populate, promote and use the software application, subject to the terms and conditions defined in this Agreement

  3. In reliance of the representations and warranties of the Talent Recruiter ,WCTL wishes to appoint the Talent Recruiter, as an independent third-party contractor, for the provision of the Services subject to the terms and conditions of this Agreement

NOW, THEREFORE, on the basis of representative and warranties, consideration, and mutual covenant contained herein, with the intent to be legally bound, the parties, hereby covenant and agree as follows:

  1. DEFINITIONS
  2. Some specific terms used in this Agreement, not specifically defined in the body of Agreement, shall have the following meanings:

    Agreement means this Agreement and all provisions contained herein. and any Exhibits/schedules attached thereto signed and efective between the parties, which shall be treated as an integral document to this Agreement.
    Beans means Bano live in-app purchase units (purchased by the End-Users to be used within the Bano live App).
    Competitor Means any other Live Streaming App/platform of substantially identical or any similar model including but not limited to the likeness (e.g., Mico, Uplive, BIGO etc.) and/or any other future application.
    Company / WCTL Westcombe Technologies Ltd as Bano Live.
    Day shall mean a calendar day of 24 hours
    Confidential Information means any confidential, trade secret, know-how or other intellectual proprietary information and know-how, disclosed by one party to the other under this Agreement or which may be obtained directly or indirectly by one Party hereto from the other Party hereto, whether in writing or in electronic format, or pursuant to discussions held between the Parties, or which is marked confidential or if disclosed orally, expressed to be confidential at the time of disclosure, and subseuuently confirmed as confidential in writing to the other party, or which can be obtained by examination, testing, visual inspection or analyses, including, without limitation terms of this Agreement, Intellectual Property, Knowhow and documentation, technical information, software, applications, business information or other materials of a confidential nature except any information that:
    1. is public knowledge at the time of disclosure,
    2. was known by the receiving party before disclosure by the disclosing party, or becomes public knowledge or otherwise known to the receiving party after such disclosure, other than by breach of a confidentiality obligation,
    3. is independently developed by the receiving party by persons without access to Confidential Information of the disclosing party, or
    4. has been or is to be disclosed pursuant to an order or requirement of an administrative agency, other government body, order of a judicial or uuasi-judicial body or an obligation imposed by local law, local regulation, in which case the disclosing party shall notify the other party of any such disclosure or impending disclosure.
    Streaming means online live streaming session of the talents on Bano live App by logging in from their respective IDs allotted by Bano live
    Bano live or Bano live App means the cellular application of the Company which any user will use as per defined terms and conditions.
    Talent(s) means the employee(s) streamer(s) recruited by the Talent Recruiter for his/her Talent Recruitment Firm.
    Exchange means the in-app conversion of Coins into Beans.
    Beans means Bano live in-app gifted unit (post gifting)
    Hour means 60 minutes as per the systematic calculations within Bano live App.
    Intellectual Property Right(s) means any patent, petty patent, copyright, design right, community design right, registered design, rights in knowhow, or any similar right in any part of the world and shall include any applications for the registration of any patents or registered designs or similar rights capable of registration in any part of the world.
    Month mean English Calendar month.
    USD means Dollars
    Reward means payment received by the Talent Recruitment Firm or talents of TalentRecruitment Firm in return of their services.
    Services means head hunting services including but not limited to persuading Talent recruiter(s) and/or Talent(s) working with and/or Talents streaming on other Competitor platforms other to join Bano live.
    Standard Recruiter means the Talent Recruitment Firm opened upon submission of security depositamounting to USD 300$/−.
    Talent Recruiter means Party of the Second Part specified in the title of thisAgreement.
    Talent Recruitment Firm means a talent recruiters firm registered with Bano live inaccordance with Section 2 below.
    Valid Day means any day in which the talent completes at least 1 hour of continuous streaming session from his/her respective ID on the Bano live App.
    Work Product means the end product and/or the content produced and developed by the Talent Recruiter through its Talents or otherwise in the performance of this Agreement.

    1. Unless the context otherwise requires, any reference to a statutory provision shall include such provision as from time to time be modified or re-enacted or consolidated so far as such modification or re-enactment or consolidation applies or is capable of applying to any transactions entered into hereunder.

    2. References to Recitals, Clauses, Paragraphs and Schedules are to recitals, clauses, paragraphs and schedules of this Agreement.

    3. The headings are for convenience only and shall not affect the interpretation hereof; and

    4. Unless the context otherwise requires words importing the singular only shall include the plural and vice versa and references to natural persons shall include bodies corporate.

  3. Term of the Agreement

    2.1.This Agreement shall come into efective the upon the generation of the firm code as provided for under Clause 3.3 (“Efective Date”) and shall continue in full force and efect, unless earlier terminated as per Section (xx) of this Agreement.

  4. Admin Registration

    Registration Documentation:


    Bano live Admin shall be eligible to register for Bano live as a Admin Firm subject to, and conditional upon, the provision and clearance of the following documents:

    1. CNIC/NIC/Passport No. of the Admin

    2. NIC of Witness Admin

    3. A paid utility bill of the house Admin is residing in, along with the proof of residency i.e. tenancy agreement in case of rental accommodation.

    4. A valid WhatsApp contact number of Admin

    5. A functional Bank Account .

    6. Biodata of Agents) to be hired by the Admin vii. Any other document/information, which WCTL deems necessary for the purpose.

    Security Deposit:

    Upon submission of the required documents, must be a point Agent shall choose to appoint themselves for either a Probation Agent Firm (with security deposit of an or a Standard Agent Firm (with security deposit of an amount of USD 300$).new for agency .(apply fee)The security deposit shall be deposited by the Talent Recruiter in the bank account provided by the WCTL. The Security deposit shall be refundable, at the time of termination of contract, pending any clearance from Lt, subject to any set-of, deductions and counterclaim.


    Admin Recruitment Firm Code:

    After submission and clearance of the reuuisite documents, the Admin Recruitment Firm code shall be generated for Talent Recruiter and communicated to the Agent within 3 working days.


    Number of Active Agencies:

    It shall be mandatory for Admin Recruitment Firm to have at least 25 active agencies. If the AdminRecruitment Firm fails to maintain at least 25 active agencie. by the end of the 3rd month of its registration, the admin Recruitment Firm shall not be eligible for a share in rewards, hence the Agent shall only be eligible for basic pay, as per the applicable thresholds.


    NOTE: Policy 25 hired agencies in bano live app.

    1. Talent Recruitment Firm Registration

    Registration Documentation:

    Talent Recruiter shall be eligible to register for Bano live as a Talent Recruitment Firm subject to, and conditional upon, the provision and clearance of the following documents:

    1. CNIC/NIC/Passport No. of the Talent Recruiter

    2. CNIC of Witness of Talent Recruiter

    3. A paid utility bill of the house Talent Recruiter is residingin, along with the proof of residency i.e. tenancy agreement in case of rental accommodation.

    4. A valid WhatsApp contact number of Talent Recruiter

    5. A functional Bank Account .

    6. Submission of security deposit as per Section 2.2.

    7. Biodata of talents (streamers) to be hired by the Talent Recruiter.

    8. Any other document/information, which WCTL deems necessary for the purpose.

    Talent Recruitment Firm Code:

    It shall be mandatory for Standard Talent Recruitment Firm to have at least 10 active Talents. If the Talent Recruitment Firm fails to maintain at least 10 active talents by the end of the 3rd month of its registration, the Talent Recruitment Firm shall not be eligible for a share in rewards, hence the Talent Recruiter shall only be eligible for basic pay, as per the applicable thresholds.

  5. Payment Policy


    The Talent Recruiter’s income and reward(s) shall consist of 2 categories:

    1. Family Reward .
    2. Coins Reward.

    Subject to all talents streaming for 25 hours, all the categories of rewards shall be given as per the following terms:

    1. Family Reward:

    2. Coins Reward:

      The Talent Recruitment Firm shall be eligible for a reward of 20% of coins earnings of each of its Talent every month, as a commission, present in Talent Recruiter’s portal. Requirements of eligibility are explained in the table below:

    3. The Talents working for the Talent Recruiter shall be eligible for reward, provided that he/she has 25+ hours and 10+ valid days of streaming in a month.

Agency Holder

  • You will need to spend $300 if you want to add an agency.

  • If the administrator doesn't add 25 agencies, they will not receive the 104 dollars; instead, they will receive bean commissions.

  • The list of active agencies includes 10 hosts

  • They have to spend $300 to start the agency.
